Acceptance of these Terms
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you are using the Services on behalf of a company or organisation, you confirm that you have authority to bind that entity and “you” includes that entity.
Eligibility
You must be at least 16 years old (or the minimum age required in your country) to use the Services. By using the Services, you confirm that you meet this requirement.
Definitions
- Consumer: an individual using Loop Local to discover businesses and earn or redeem rewards.
- Merchant: a business using Loop Local to run loyalty programmes, campaigns, and analytics (including business owners and staff users).
- Content: any text, images, data, and other materials you upload, submit, or generate through the Services.
- Merchant Subscription: a paid plan for Merchant features, where applicable.
- Loop Local Copilot: AI-powered features that generate suggested insights or drafts.
Accounts and access
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate information and keep it up to date.
- You must notify us promptly if you suspect unauthorised access to your account.
Your licence to use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal use (Consumers) or internal business purposes (Merchants).
Using the Services
You may use the Services only in compliance with these Terms and applicable laws. You agree not to:
- misuse the Services (including attempting to access areas you are not authorised to access);
- interfere with or disrupt the Services or security features;
- reverse engineer, decompile, or attempt to extract source code except where permitted by law;
- use the Services to send unlawful, harmful, misleading, or abusive communications;
- upload malware, scrape the Services, or attempt to bypass rate limits or access controls.
Consumer terms
This section applies if you are using Loop Local as a Consumer.
Loyalty programmes, rewards, and redemptions
Loop Local helps Consumers and Merchants participate in loyalty programmes. Rewards and offers are generally created and fulfilled by Merchants.
Unless stated otherwise, Merchants (not Loop Local) are responsible for:
- the availability, quality, and fulfilment of rewards and offers;
- opening hours, stock, exclusions, eligibility rules, and redemption rules;
- compliance with laws applicable to their business and promotions.
We may suspend or remove rewards, offers, or programme access where necessary for safety, fraud prevention, suspected misuse, or legal compliance.
Merchant terms
This section applies if you are using Loop Local as a Merchant.
Merchant subscriptions and billing
Certain Merchant features may require a paid subscription. Where applicable:
- payments are processed by third-party payment providers (such as Stripe) and are subject to their terms;
- subscription fees (and any applicable taxes) will be shown at purchase or in your Merchant dashboard;
- you are responsible for keeping billing details accurate and up to date.
Unless otherwise stated at checkout or in your dashboard, subscriptions renew automatically until cancelled. You can cancel at any time and your subscription will remain active until the end of the current billing period.
Except where required by law, subscription fees are non-refundable once charged (for example, we do not provide refunds for partial months or unused time).
Merchant obligations
As a Merchant, you agree that you are responsible for:
- your business listings, offers, rewards, campaigns, and any terms you communicate to Consumers;
- fulfilling rewards and handling Consumer issues fairly and in line with applicable law;
- ensuring your promotions comply with applicable laws and any platform policies (including advertising and consumer protection rules);
- ensuring Content you provide (including brand assets and copy) is accurate and lawful;
- maintaining appropriate internal controls for staff access and account permissions.
AI features (Loop Local Copilot)
Some Merchant features use AI to generate insights, suggestions, or draft content based on business inputs and analytics. AI output may be inaccurate, incomplete, or out of date and is provided for informational purposes only.
You are responsible for reviewing AI output before use and for ensuring that any campaigns, communications, offers, and decisions comply with applicable laws and platform rules. AI output does not constitute legal, financial, or professional advice.
Your Content
You retain ownership of your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and process your Content only as needed to operate, support, secure, and improve the Services.
You confirm that you have the rights necessary to provide your Content to us and that your Content does not infringe third-party rights or violate applicable law.
Intellectual property
The Services, including software, design, text, graphics, logos, trademarks, and all related intellectual property rights, are owned by or licensed to Loop Local. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works from the Services.
Third-party services
The Services may integrate with third-party services (for example authentication, payments, maps, analytics, and AI providers). We are not responsible for third-party services and their terms and privacy policies apply to your use of those services.
Privacy
Our Privacy Policy explains how we collect and use personal data and how we handle cookies and analytics settings.
Availability, changes, and termination
- We may change, suspend, or discontinue any part of the Services, including features and availability.
- We may suspend or terminate your access if you breach these Terms or where necessary for security, fraud prevention, suspected misuse, or legal compliance.
Upon termination, your right to access and use the Services will end. We may retain or delete data in accordance with our Privacy Policy and applicable law. Any fees owed remain payable.
Disclaimers
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free, or that rewards or offers will be available from Merchants.
Limitation of liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
Subject to the above, Loop Local will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising out of or related to your use of the Services.
Merchants: where permitted by law, our total liability arising out of or in connection with the Services will not exceed the total fees paid by you to Loop Local in the 12 months preceding the event giving rise to the claim.
Indemnity
If you are a Merchant, you agree to indemnify and hold Loop Local harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your offers, rewards, campaigns, or business operations; (b) your Content; or (c) your breach of these Terms or applicable law.
Force majeure
We will not be liable for failure or delay caused by events beyond our reasonable control, including outages, natural disasters, labour disputes, internet failures, or failures of third-party services.
Governing law
These Terms are governed by the laws of England and Wales. Courts of England and Wales will have exclusive jurisdiction, except where mandatory local consumer protection laws apply.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example by posting an updated version on this page). Your continued use of the Services after changes become effective means you accept the updated Terms.
